This Vendor & Seller Agreement (“Seller Agreement”) is entered into between Aadaten Private Limited (“Aadaten”, “Platform”) and the Seller (“You”, “Vendor”) registering to sell products through www.aadaten.com, the Aadaten Vendor App, or any other channel operated by Aadaten. By completing the Seller registration and clicking ‘I Agree’, you enter into a binding agreement governed by these terms. Sellers must: be at least 18 years old; be a legally registered business entity or individual with valid GST/PAN; possess all applicable licences for the products you sell (FSSAI for food, Drug Licence for supplements, BIS certification where applicable); and have a valid Indian bank account for payouts.
This is a non-negotiable condition of listing on the Platform:
All products listed on the Platform must comply with the Aadaten Jain Ingredient & Purity Policy (published at aadaten.com/jain-policy) at the time of listing and on an ongoing basis.
Sellers must complete the Jain Ingredient Declaration Form for each SKU.
Any change in product formulation, ingredients, supplier, or manufacturing facility that affects Jain compliance must be notified to Aadaten within 48 hours.
Aadaten reserves the right to delist any product found to be non-compliant without prior notice.
Misrepresentation of Jain compliance is grounds for immediate permanent account termination and recovery of all payouts held, plus applicable penalties.
Accurate, complete product descriptions, ingredient lists, and images are mandatory.
FSSAI license number of the manufacturer must be provided for all food/beverage products.
Products containing alcohol, tobacco, meat, eggs, or root vegetables (per the Jain Policy) are not permitted unless sold in a designated non-Jain zone (if activated in the future).
Counterfeit, stolen, or IP-infringing products are strictly prohibited.
Products making unsubstantiated health or medicinal claims are prohibited.
Sellers must not copy or reproduce Aadaten’s product images, descriptions, or brand materials.
Aadaten charges a platform commission on each sale, as specified in the Seller Dashboard and Seller onboarding communication. Commission rates vary by product category.
Payouts are processed on a weekly cycle (T+7 from the date of order delivery confirmation) to your registered bank account, after deduction of commission, return adjustments, and applicable TDS. Payouts are subject to a minimum threshold of ₹500 per cycle; balances below the threshold roll forward to the next cycle.
TDS: Aadaten will deduct Tax Deducted at Source (TDS) as applicable under Section 194-O of the Income Tax Act on marketplace commissions. TDS certificates are issued quarterly.
Aadaten may withhold payouts if there are pending customer complaints, return disputes, or compliance investigations. Aadaten will notify the Seller of any withholding within 48 hours.
Sellers must confirm orders within 24 hours of placement.
Sellers must dispatch confirmed orders within 2 business days (unless a longer processing time is explicitly declared on the listing).
Sellers are responsible for proper packaging that prevents damage in transit, maintains food safety standards (for food products), and reflects the premium Aadaten brand standard.
Sellers must provide valid tracking information upon dispatch.
Sellers must honour Aadaten’s Return, Refund & Cancellation Policy. The cost of return logistics for Seller-fault returns (wrong item, defective, non-compliant) is borne by the Seller. For buyer-fault returns (change of mind within policy window), logistics costs are shared as per the commission structure. Sellers must resolve customer complaints forwarded by Aadaten within 48 hours.
Product images and content uploaded by the Seller remain the Seller’s IP. However, by uploading to the Platform, Sellers grant Aadaten a non-exclusive, royalty-free licence to use, display, and reproduce the images for Platform operations, marketing, and promotional purposes. Sellers warrant that they have all necessary rights to the content they upload.
Aadaten may suspend or terminate a Seller account for: Jain Policy non-compliance; fraudulent activity; repeat negative customer feedback; failure to fulfil orders; IP infringement; or violation of these terms.
Suspension is typically preceded by a written warning, except in cases of fraud, Jain Policy misrepresentation, or regulatory violation where immediate action is required.
Upon termination, pending payouts will be held for 45 days to allow for return/dispute resolution, then released less any outstanding dues.
Sellers shall indemnify and hold harmless Aadaten, its directors, employees, and agents from any claims, losses, damages, penalties, or costs (including legal fees) arising from: the Seller’s products (including Jain compliance issues, FSSAI violations, product defects); the Seller’s use of the Platform; the Seller’s infringement of third-party IP; or any breach of this Agreement.
This Agreement is governed by the laws of India. Disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, at Mumbai, before a sole arbitrator appointed by Aadaten. The seat of arbitration shall be Mumbai.
